SilverSun Technologies, Inc., the parent company of VAR SWK Technologies, and Rhodium Enterprises Acquisition Corp. have entered into a Fifth Amendment to their September 2022 Merger Agreement.
The update amends the agreement to provide that the merger may be terminated, and the transactions abandoned, by either SilverSun Technologies or Rhodium Enterprises at any time if the closing has not occurred on or before September 30, 2023.
The Amendment also removes a provision for the payment of a $5,000,000 termination fee by Rhodium Enterprises or SilverSun Technologies, as applicable, upon certain termination events although both companies would seem to retain all other legal remedies available to them upon such termination events.
